1. Acceptance of Terms
By accessing, browsing, or using the BraveWorx platform ("Platform"), including our website, mobile applications, and all related services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Platform.
These Terms constitute a legally binding agreement between you and BraveWorx Inc. ("BraveWorx," "we," "us," or "our"), a company registered and operating under the laws of the Republic of the Philippines.
2. Description of Service
BraveWorx is a multi-tenant Software-as-a-Service (SaaS) marketplace that connects service providers ("Tenants" or "Providers") with customers ("Clients") in the Philippines. The Platform provides:
- For Service Providers: Online booking management, payment processing via PayMongo, staff and HR management (attendance, leave, payroll), customer relationship tools, invoicing, and business analytics.
- For Customers: A marketplace to discover, compare, and book services from verified providers; online payment options (GCash, Maya, credit/debit cards); booking history; and review capabilities.
BraveWorx acts as a technology intermediary and is not a party to the service agreements between Providers and Clients. We do not provide, control, or supervise the services offered by Providers.
3. User Accounts & Eligibility
To use certain features of the Platform, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Keep your login credentials confidential and not share them with third parties
- Accept responsibility for all activities that occur under your account
- Notify us immediately of any unauthorized access to your account
You must be at least 18 years of age and legally capable of entering into binding contracts under Philippine law. By using the Platform, you represent and warrant that you meet these requirements.
4. Tenant (Service Provider) Obligations
If you register as a Tenant on BraveWorx, you agree to:
- Provide accurate and truthful business information, including your DTI/SEC registration, business permits, and professional licenses as applicable
- Deliver services as described, at the quoted prices, and within the agreed timeframes
- Maintain a professional standard of service that meets or exceeds customer expectations
- Comply with all applicable Philippine laws, regulations, and licensing requirements, including but not limited to the Consumer Act (RA 7394), Labor Code, and local business ordinances
- Respond to booking requests within a reasonable timeframe (ideally within 2 hours during business hours)
- Keep your service listings, pricing, and availability up to date
- Resolve customer complaints promptly and professionally
- Not engage in any fraudulent, misleading, or unethical business practices
5. Subscription Plans & Fees
BraveWorx offers three subscription tiers for Tenants:
- Starter (Free): Up to 1 branch, 3 staff, 10 services. Platform commission: 5% per transaction.
- Professional (PHP 1,499/month): Up to 3 branches, 15 staff, 50 services. Platform commission: 3% per transaction. Includes priority support and advanced analytics.
- Enterprise (PHP 3,999/month): Unlimited branches, staff, and services. Platform commission: 1.5% per transaction. Includes dedicated account manager, custom branding, and API access.
Subscription fees are billed monthly in advance. Platform commissions are deducted automatically from each completed transaction before payout. All prices are in Philippine Pesos (PHP) and are inclusive of applicable taxes unless otherwise stated.
We reserve the right to modify pricing with 30 days' advance notice. Existing subscribers will be grandfathered at their current rate for the remainder of their billing cycle.
6. Payments & Transactions
All financial transactions on the Platform are processed through PayMongo, our authorized payment gateway partner. By using BraveWorx payment features, you also agree to PayMongo's terms of service.
- Supported payment methods include GCash, Maya (formerly PayMaya), Visa, Mastercard, and bank transfers
- BraveWorx does not store credit card numbers or sensitive payment credentials on our servers
- Tenant payouts are processed according to your PayMongo account settings and schedule
- All transaction fees charged by PayMongo are separate from BraveWorx platform commissions
7. Cancellations & Refunds
Cancellation and refund policies are determined by individual Service Providers, subject to the following minimum standards:
- Customers may cancel a booking free of charge up to 24 hours before the scheduled service time, unless the Provider specifies a more generous policy
- For cancellations within 24 hours, Providers may charge a cancellation fee of up to 50% of the booking amount
- No-shows may be charged the full booking amount at the Provider's discretion
- If a Provider cancels a confirmed booking, the Customer is entitled to a full refund
- Refunds are processed through PayMongo and may take 5-14 business days to reflect in the customer's account, depending on the payment method
Disputes that cannot be resolved directly between the Provider and Customer may be escalated to BraveWorx support for mediation.
8. Intellectual Property
The BraveWorx name, logo, software, website design, and all associated intellectual property are owned by BraveWorx Inc. and protected under Philippine intellectual property laws (RA 8293).
Tenants retain ownership of their business content (logos, descriptions, photos) uploaded to the Platform. By uploading content, you grant BraveWorx a non-exclusive, royalty-free license to display and distribute such content within the Platform for the purpose of providing our services.
9. Limitation of Liability
BraveWorx is a technology platform that facilitates connections between Providers and Clients. To the maximum extent permitted by Philippine law:
- We are not responsible for the quality, safety, legality, or delivery of services provided by Tenants
- We do not guarantee the accuracy of Provider profiles, reviews, or service descriptions
- Our total liability for any claim arising from your use of the Platform shall not exceed the amount you paid to BraveWorx in the 12 months preceding the claim
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
10. Termination
Either party may terminate this agreement at any time. BraveWorx reserves the right to suspend or terminate accounts that:
- Violate these Terms of Service
- Engage in fraudulent or illegal activity
- Receive consistently poor customer reviews (below 2.0 average) without improvement
- Remain inactive for more than 12 consecutive months
Upon termination, Tenants must settle all outstanding commissions and fees. Customer data will be handled in accordance with our Privacy Policy.
11. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Republic of the Philippines. Any disputes arising from these Terms shall be resolved through the following process:
- Negotiation: The parties shall first attempt to resolve disputes through good-faith negotiation
- Mediation: If negotiation fails, the dispute shall be submitted to mediation under the rules of the Philippine Mediation Center
- Arbitration: If mediation is unsuccessful, the dispute shall be settled by arbitration in Makati City under the rules of the Philippine Dispute Resolution Center
12. Changes to These Terms
We may update these Terms from time to time to reflect changes in our services, legal requirements, or business practices. We will notify registered users of material changes via email and/or an in-platform notification at least 15 days before the changes take effect.
Continued use of BraveWorx after the effective date of updated Terms constitutes your acceptance of the new Terms. If you disagree with any changes, you may terminate your account before the effective date.
